WELCOME TO TIPZ
TIPZ IS A PERSONAL APP FOR SAVING AND ORGANIZING THE PLACES YOU LOVE, AND FOR CONNECTING WITH FRIENDS WHOSE TASTE YOU TRUST. YOU SAVE PLACES IN ONE TAP, AND AI ORGANIZES THEM FORYOU. THERE IS NO FEED, NO RANKING, AND NO ALGORITHMIC RECOMMENDATION OF PLACES. PLEASE READ THESE TERMS OF SERVICE (“TERMS”) CAREFULLY BEFORE USING TIPZ
Our community works because people are honest and respectful with each other. When using Tipz, you agree to:
Treat other users with respect. Harassment, hate speech, and personal attacks are not allowed.
Avoid spam and irrelevant self-promotion.
Keep content relevant to places, recommendations, and related discussions.
Never post explicit, offensive, or illegal content.
Respect other users' privacy. Don't share someone else's personal information without their consent.
Be honest. Misleading information and impersonation are not allowed.
Zero tolerance. Tipz has zero tolerance for objectionable content and abusive users. We remove content that violates these guidelines, and we may suspend or permanently ban the accounts responsible.
Reporting and blocking. You can report any user or content using the in-app Report option. We review reports and aim to act within 24 hours. You can also block any user from their profile. Blocked users can't see your profile or content, and you won't see theirs.
Violating these guidelines may result in content removal, account restrictions, or termination, at Tipz's discretion.
1. Acceptance of these Terms
You accept these Terms, and our Privacy Policy, by checking the agreement box when you create your account. If you do not agree, do not use the Service. We may revise theseTerms from time to time, as described in Section 16.
2. Eligibility
You must be at least 18 years old to create a Tipz account and use the Service. By creating an account, you confirm that you are 18 or older.
3. Your account
You are responsible for keeping your account credentials confidential and for all activity under your account. Notify us immediately at hello@tipz.club if you suspect unauthorized use. You can delete your account at any time in Settings. We may suspend or terminate accounts that violate these Terms.
4. Business accounts (coming soon)
Tipz plans to offer paid business accounts that let businesses send updates to users who have saved them. This feature is not available yet. Before it launches, we will update theseTerms, including billing terms, and notify you.
5. Content you provide
You are responsible for the content you submit to Tipz, including Tipz, photos, notes, Asks, and replies. You confirm that you have the rights needed to submit it.
You grant Tipz a worldwide, royalty-free, non-exclusive license to host, store, display, and share your content to operate the Service, according to your privacy settings. If your profile is public, your content can be seen by other Tipz users and through links shared outside the app. If it is private, only your connections can see it.
If you delete your account, this license ends and we remove your content from theService, as described in Section 11 of the Privacy Policy. We may keep limited copies as described there.
6. Copyright complaints
We respect intellectual property rights and respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act (DMCA). If you believe content on Tipz infringes your copyright, send a written notice to our designated agent that includes:
Your physical or electronic signature.
A description of the copyrighted work you believe is infringed.
A description of the content you believe is infringing, and where it appears in theService.
Your name, address, phone number, and email address.
A statement that you believe in good faith the use is not authorized by the copyright owner, its agent, or the law.
A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act for the owner.

If your content was removed and you believe this was a mistake, you can send us a counter-notice as provided by the DMCA. We will terminate the accounts of repeat infringers in appropriate circumstances.
7. What we own
Except for content you submit, all software, design, graphics, trademarks, and other materials in the Service are owned by Tipz or its licensors and are protected by intellectual property laws. Subject to these Terms, Tipz grants you a limited, revocable, non-transferable, non-exclusive license to use the Service for your personal, non-commercial use. You may not copy, modify, reverse-engineer, redistribute, or commercially exploit the Service except as these Terms expressly permit.
8. Reliance on information
Information shown in Tipz, including places, hours, and business details, is for general information only. We do not warrant its accuracy, completeness, or safety, and any reliance you place on it is at your own risk.
9. Indemnification
You agree to indemnify and hold harmless Tipz, its officers, employees, and affiliates from any claim, liability, or expense (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms or applicable law.
10. Disclaimers and limitation of liability
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Tipz does not warrant that the Service will be uninterrupted or error-free.
To the fullest extent permitted by law, Tipz will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Tipz's total liability to you for any claim arising from these Terms or the Service will not exceed the greater of (a) the amount you paid Tipz in the 12 months before the claim, or (b) $100.
11. Dispute resolution and arbitration
Before filing a claim, you agree to contact us at hello@tipz.club so we can try to resolve the dispute informally. If we can't resolve it within 60 days, you and Tipz agree to resolve any claim (other than claims for injunctive or equitable relief, or intellectual property disputes) through binding, individual arbitration administered by the AmericanArbitration Association, rather than in court. You and Tipz each waive the right to a jury trial and to participate in a class action.
Opt-out. You may opt out of this arbitration agreement by emailing hello@tipz.club within30 days of first accepting these Terms, stating that you decline to be bound by it. If you opt out, disputes will be resolved in the state or federal courts located in Delaware.
12. Apple App Store terms
If you downloaded Tipz from the Apple App Store, the following also applies:
Acknowledgement. These Terms are between you and Tipz only, not Apple. Tipz, notApple, is solely responsible for the app and its content.
Scope of license. Your license to use the app is limited to Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions. The app may also be used by other accounts associated with you through Family Sharing or volume purchasing.
Maintenance and support. Tipz, not Apple, is solely responsible for maintenance and support of the app. Apple has no obligation to provide any maintenance or support.
Warranty. If the app fails to conform to any applicable warranty, you may notify Apple,and Apple will refund the purchase price, if any. To the maximum extent permitted bylaw, Apple has no other warranty obligation. Any other claims, losses, or costs caused by a failure to conform to a warranty are Tipz's responsibility.
Product claims. Tipz, not Apple, is responsible for addressing any claims relating to the app, including product liability claims, claims that the app fails to conform to legal requirements, and claims under consumer protection, privacy, or similar laws.
Intellectual property. If a third party claims that the app or your use of it infringes their intellectual property rights, Tipz, not Apple, is solely responsible for investigating, defending, settling, and discharging that claim.
Legal compliance. You represent that you are not located in a country subject to a U.S.government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. government list of prohibited or restricted parties.
Developer contact. Questions, complaints, or claims about the app can be sent to TipzInc., [mailing address], hello@tipz.club.
Third-party terms. You must comply with any applicable third-party terms when using the app, such as your wireless carrier's terms.
Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms. Once you accept these Terms, Apple has the right to enforce them against you.
13. Geographic restrictions
Tipz is based in the United States. We make no claim that the Service is appropriate or available in every location. If you use the Service from outside the United States, you are responsible for complying with local laws.
14. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms. Sections relating to content you provide, intellectual property, indemnification, disclaimers, limitation of liability, and dispute resolution survive termination.
15. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except as modified by Section 11 (Dispute resolution and arbitration) and Section 12 (Apple App Store terms).
16. Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes in the app or by email before they take effect. If you keep using the Service after a change takes effect, you accept the updated Terms.
